Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and NexGen UX & Engineering LLC, doing business as Multiplayer Rally ("Multiplayer Rally," "we," "us," or "our") [TO CONFIRM: register the d/b/a or trade name if the home state requires it]. They govern your use of the multiplayerrally.com website, the waitlist, the Multiplayer Rally desktop agent software, and the Multiplayer Rally services, including our account dashboard and relay connectivity network (together, the "Service"). By joining the waitlist, creating an account, installing the agent, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is

Multiplayer Rally is software and a connected service for hosting multiplayer game servers on your own computer. The Service has two parts:

  • The agent (software). A desktop application that runs on your Windows PC. It downloads game server software from the game publisher's official sources, installs and runs game servers on your hardware at your direction, keeps your PC awake while your servers are running, and periodically checks a signed update manifest to keep itself up to date. The agent is licensed to you, not sold. We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the agent for your own use of the Service. You may not reverse engineer, decompile, or disassemble the agent except where applicable law permits it despite this restriction. By installing the agent you consent to automatic updates.
  • The services (cloud). Your account, the web dashboard, and our relay network, which lets players connect to servers running on your PC without you opening ports on your home network or exposing your home IP address.

2. Pre-launch status and the waitlist

The Service is currently in a pre-launch period. Right now the only things available are this website and a waitlist. Joining the waitlist does not guarantee access to the Service, any particular launch date, any particular price, or any feature. We may open access in waves, in any order, at our discretion. During any beta or early access period, the Service is provided for evaluation, may change or break without notice, and may be suspended or discontinued at any time. Sections of these Terms that describe accounts, billing, and the agent apply from the moment those parts of the Service become available to you.

3. Eligibility

You must be at least 13 years old to use the Service. We do not allow accounts for children under 13, and we do not knowingly collect personal information from children under 13. If you are between 13 and 17, you may use the Service only if your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By purchasing any paid plan you represent that you are at least 18 years old and able to form a binding contract.

4. Your account

  • Accounts are created with an email address and a sign-in link sent to that address. You are responsible for keeping access to your email account secure and for everything that happens under your Multiplayer Rally account.
  • You agree to give us accurate information and to keep it current.
  • You may link one or more devices (your PCs running the agent) to your account. You are responsible for the devices you link and should remove devices you no longer control.
  • Notify us promptly at security@multiplayerrally.com if you believe your account has been compromised.

5. Your PC, your server: what we are and are not responsible for

The core of the Service is that game servers run on your hardware at your direction. In plain terms:

  • You are responsible for your computer, its operating system, your internet connection, your electricity usage and costs, and the physical security of your hardware.
  • You are responsible for what your server does and for the people you invite to it, including their conduct on your server.
  • The agent keeps your PC awake while servers run. Running a server consumes your CPU, memory, disk, bandwidth, and power. You accept those costs.
  • In the current phase of the Service, your worlds, saves, and backups stay on your own PC. We do not store copies of them. If your disk fails or you delete your files, we cannot recover them.
  • You must have the legal right to run the games whose servers you install (for example, owning a copy where the publisher requires one).
  • We are not responsible for the game software itself, for bugs in it, or for any publisher discontinuing dedicated server support for a game.
  • Subject to the disclaimers and the warranty floor required by your local law, we disclaim responsibility for damage to your hardware or data arising from game server software you chose to install and run.

What we promise about the agent on your machine is set out in our Acceptable Use Policy: the agent installs only the game servers you pick, from publisher or official sources, opens no inbound ports on your machine, and is never used for anything except your servers.

6. Third-party games and publisher EULAs

  • Multiplayer Rally is not affiliated with, endorsed by, or sponsored by Mojang, Microsoft, or any other game publisher. Game names are trademarks of their respective owners and are used only to describe compatibility.
  • Game server software belongs to its publisher. The agent fetches it from the publisher's official sources at install time; we do not redistribute publisher binaries.
  • Each game's server software is governed by the publisher's own license terms (for example, the Minecraft End User License Agreement), which are separate from these Terms and which you accept directly. The agent will present the publisher's terms where the publisher requires acceptance, and it will not proceed until you accept them yourself. You are responsible for complying with the publisher's terms, including any rules about server monetization.
  • Our fees are for our management and connectivity software and services, never for access to any game.
  • We may add, restrict, or remove any game from our catalog at any time, including when a publisher requires it, without liability to you.

7. Plans, billing, and refunds

At launch the Service will offer a free tier and paid subscription plans (currently planned: Pro at $5/month or $48/year, and Team at $12/month; prices and plans may differ at launch). Payments are processed by Stripe. We never store your full card number.

  • Free tier. Free tier features and limits may change. We will give notice of material reductions.
  • Auto-renewal. Paid plans renew automatically at the end of each billing period. For annual plans, we send a reminder email before renewal.
  • Cancel anytime. You can cancel in the self-serve billing portal at any time. Cancellation takes effect at the end of the current billing period.
  • 14-day refund. We give a full refund, no questions asked, if you request it within 14 days of your first charge.
  • Prorated annual refunds. If you cancel an annual plan mid-term, we refund the unused portion on a prorated basis.
  • Price changes. We change the price of an existing subscription only at renewal, and only with at least 30 days advance notice.
  • Taxes. Prices may be shown exclusive or inclusive of tax depending on your location; applicable sales tax or VAT is calculated at checkout.

8. Your content

Your worlds, save files, server configurations, server names, and backups are yours. You retain all rights in them. You grant us only the limited license we need to operate the Service: to transmit your content through our relay when players connect, to display server names and metadata to you and to the players you invite, and, if you later enable any cloud backup feature, to store and transfer backup copies on your behalf. We do not access the contents of your worlds except to provide support with your consent or where the law requires it. Console log lines shown in your dashboard are relayed with credentials and tokens redacted. You are responsible for your content and represent that it does not violate the law or the rights of others.

9. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. A violation of the Acceptable Use Policy is a breach of these Terms. In short: the relay is for your game traffic only, illegal content is never tolerated, and you may not abuse, attack, or circumvent the limits of the Service.

10. Copyright and DMCA

We respond to copyright infringement notices under the Digital Millennium Copyright Act. To submit a notice or counter-notice, contact our designated agent at dmca@multiplayerrally.com [TO CONFIRM: designated agent postal address (CMRA) and US Copyright Office registration, per plan section 2.4]. We will remove or disable access to allegedly infringing material expeditiously upon valid notice, and we maintain and enforce a repeat-infringer policy: accounts with repeated substantiated infringement are terminated.

11. Privacy

Our Privacy Policy explains what personal information we collect and how we use it. By using the Service you acknowledge the Privacy Policy.

12. Suspension and termination

  • You may stop using the Service and delete your account at any time.
  • We may warn, throttle, suspend a tunnel, or suspend an account for violations, following the enforcement ladder described in the Acceptable Use Policy. Certain violations (such as illegal content, attack traffic, or fraud) result in immediate termination without the ladder.
  • If we suspend or terminate your paid account for reasons other than fraud or illegal activity, we refund the unused portion of your subscription on a prorated basis.
  • We may discontinue the Service or any part of it with reasonable advance notice; in that case prepaid, unused fees are refunded.
  • Export and sanctions compliance. The Service may not be used in or by residents of jurisdictions subject to comprehensive US sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions), or by anyone on US restricted-party lists.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT THE RELAY WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LATENCY, OR THAT ANY GAME WILL CONTINUE TO SUPPORT DEDICATED SERVERS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA (INCLUDING LOST WORLDS OR SAVES STORED ON YOUR OWN HARDWARE), OR LOSS OF GOODWILL; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS CAPPED AT THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR, IF YOU PAID NOTHING, FIFTY US DOLLARS ($50). THESE LIMITS APPLY TO EVERY THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, EXCEPT WHERE APPLICABLE LAW DOES NOT PERMIT THEM (FOR EXAMPLE, LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY WHERE SUCH LIABILITY CANNOT BE LIMITED).

15. Indemnification

You will defend and indemnify us against third-party claims arising from your server and its contents, the conduct of players you invite, your violation of these Terms or the Acceptable Use Policy, or your violation of a game publisher's license terms, except to the extent the claim results from our own breach of these Terms.

16. Dispute resolution and governing law

[TO CONFIRM with counsel, founder decision per plan section 2.1 item 12: Option A, binding individual arbitration with a class-action waiver, a 30-day opt-out, a small-claims carve-out, and mass-arbitration batching provisions; or Option B, exclusive jurisdiction of the state and federal courts of the home state. These Terms are governed by the laws of the State of [STATE TO CONFIRM], without regard to its conflict-of-laws rules. If any part of these Terms is found unenforceable, the rest remains in effect.

17. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days advance notice by email and a notice in the dashboard before the changes take effect. If you keep using the Service after the effective date, you accept the updated Terms; if you do not agree, stop using the Service and cancel (annual subscribers who cancel because of a material adverse change receive a prorated refund).

18. General

  • These Terms, the Acceptable Use Policy, and the Privacy Policy are the entire agreement between you and us about the Service.
  • You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Sections that by their nature should survive termination (including Sections 13 through 16) survive.
  • We may give notices by email to your account address or in the dashboard.
  • Our failure to enforce a provision is not a waiver of it.
